<p>I'm in the earliest stages of a creating a new tech startup. I have a business plan, a unique revenue model, and a developer already churning out code. What I don't have is any idea of how to structure the company legally or financially.</p> <p>How do I find the right lawyer to help me understand the best way to structure my company and reward my developer? (I plan to eventually sell the company.)</p> <p>Jesper mentioned in <a href="http://startups.com/questions/68/what-makes-an-attorney-the-perfect-professional-for-my-business" rel="nofollow">this question</a> that I "need a high-flying lawyer with a excellent network in the field you're working in, and skills in all areas of law". That seems like a tall order. I'm located in Minneapolis; are there lawyers like that here? Do I need to work with a local lawyer? How do I go about finding and approaching that ideal attorney?</p> <p>Any advice would be appreciated!</p>

<p>Best bet is a local lawyer, so you can have frequent face to face meetings.</p> <p>Best way is to ask someone that is in business (not necessarily your own business) who they use and recommend. Then go talk to that lawyer.</p> <p>Your really will need at least 2 lawyers, depending on your "tech." A basic business lawyer, that will guide you through the business setup (inc v. LLP v. LLC, etc) and can do your contracts for you. Most lawyers can do this, but I would seek one that specializes in business law.</p> <p>Eventually you'll probably need a patent &amp; trademark lawyer (or IP lawyer) that can do the technical paperwork you may need.</p> <p>Again, referrals from someone you know and trust are the best way to go.</p>
